(b) On March 25, 2005, Donald P. Hodel voluntarily announced his retirement from service as a director of Salem Communications Corporation (the “Company”), effective immediately. Mr. Hodel’s retirement did not involve any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
