EXPLANATORY NOTE

This Amendment No. 5 to Stuart W. Epperson, Sr.’s Schedule 13G is being filed to amend and restate the number and percentage of shares beneficially owned by him as of December 31, 2004. As a result of a clerical error, the number of shares beneficially owned by him over which he had sole voting and dispositive power was overstated by 33,333 shares (and the related percentages accordingly overstated by 0.1%) in Amendment No. 4 to his Schedule 13G filed on February 14, 2005.

*Stuart W. Epperson, Sr., is Trustee for each of the Kathryn Trust, Stuart Trust, Kristine Trust and the Karen Trust (collectively, the “Children Trusts”) for all purposes other than voting matters. Kathryn Epperson Fonville, Stuart W. Epperson, Jr., Kristine J. Epperson McBride and Karen Epperson Deneui must act by a majority vote (i.e., 3 of the 4 individuals must vote in favor of a particular matter) to vote the shares contained in the Children Trusts. **55,000 shares of Common Stock were sold from this trust in the Company’s 2004 equity offering on May 5, 2004. ***Stuart W. Epperson, Sr. and Nancy A. Epperson share voting and dispositive power as Trustees of the Family Trust. On December 29, 2004, Stuart W. Epperson, Sr. and Nancy A. Epperson (together, the “Eppersons”) jointly gifted 895 shares of Common Stock (defined below) from the Family Trust to a custodial account for each of their 11 grandchildren, for a total gift of 9,845 shares. The Eppersons have not retained any voting or dispositive power over such gifted shares. In addition, the Family Trust sold an aggregate of (i) 70,000 shares of Common Stock on May 5, 2004, at a purchase price of $28.50 per share, in the Company’s 2004 equity offering, and (ii) 100,000 shares of Common Stock on November 29, 2004, at a price of $25.00 per share in the open market.
